This Indemnification Undertaking ("Undertaking") is entered into by and between the parent/legal guardian ("Parent/Legal Guardian/I/Me/My") and NxtWave Disruptive Technologies Pvt Ltd ("NxtWave" or "Company").

This Undertaking is executed in relation to the enrollment of my son/daughter/ward ("Student") in the Academy On-Campus Program ("Program") offered by the NxtWave Institute of Advanced Technologies ("NIAT"), an initiative of NxtWave.

By accepting this Undertaking, I hereby declare that I am the parent or legal guardian of the Student enrolled in the Program. I affirm that I have the legal authority and full capacity to enter into this Undertaking, and that I have thoroughly read, fully understood, and unconditionally agreed to be bound by the terms and conditions set forth herein.

1. My son/daughter/ward has enrolled for the Academy On-Campus (“Program”) at NxtWave Institute of Advanced Technologies ("NIAT"), an initiative of NxtWave Disruptive Technologies Pvt Ltd (“NxtWave”) with my unambiguous consent.

2. All information/certificates submitted by me/my son/daughter/ward are true and to the best of our knowledge and nothing has been concealed or misrepresented.

3. I and my son/daughter/ward hereby read, understand, and accept all the terms and conditions of NxtWave (“Terms & Conditions”), including but not limited to Program Terms & Conditions, Code of Conduct, Terms of Use, Privacy Policy and undertake to fully abide by them. I and my son/daughter/ward acknowledge that these Terms & Conditions shall be updated from time to time, and it shall be our responsibility to stay updated with any changes. My son’s/daughter’s/ward’s continued enrollment in the Program constitutes deemed acceptance of these Terms and Conditions.

4. I understand that NxtWave has a strict zero-tolerance policy towards ragging, harassment and drug/substance abuse in any form. I undertake that my son/daughter/ward will not engage in, support, or tolerate any form of ragging, harassment and drug/substance abuse, whether physical, verbal, or psychological. I acknowledge that any involvement of my son/daughter/ward in ragging, harassment and drug/substance abuse may result in severe disciplinary action, including expulsion from the Program, and legal consequences as per the applicable laws.

5. I undertake that my son/daughter/ward will commit to maintaining a safe and inclusive environment on and off NxtWave premises and all digital spaces. My son/daughter/ward shall not engage in or condone any form of harassment, including but not limited to sexual harassment, bullying, or discrimination based on race, gender, religion, caste, sexual orientation, or any other protected characteristic. I understand that violations of these commitments will be met with strict and severe disciplinary actions, which may include suspension, termination of enrollment, and/or legal action.

6. I understand that the Program is not a substitute to any academic / vocational education imparted by University Grants Commission (“UGC”) or All India Council for Technical Education (“AICTE”) recognized colleges / institutes / universities (“Recognized University”).

7. I understand that Academy On-Campus/NIAT is an upskilling initiative of NxtWave and not a Recognized University. Academy On-Campus/NIAT/NxtWave does not award formal academic certificates, diplomas, or degrees but instead focuses on providing practical, industry-relevant upskilling in computer science and related technologies.

8. I understand that NxtWave strongly encourages my son/daughter/ward to pursue formal education / degrees from Recognized University in addition to the Program. In this regard, NxtWave may, from time to time, recommend certain Recognized Universities to us (“NxtWave Recommended University”). I conducted thorough research and due diligence in selecting the university/institution and the degree program that best suits the needs of my son/daughter/ward, and I take full responsibility for this decision and its outcomes.

9. I understand that the university in which my son/daughter/ward is admitted into is solely responsible for the conduct of the degree programs and compliance with applicable laws, and NxtWave is not liable for any actions, omissions, or non-compliance by such university.

10. I understand that the university in which my son/daughter/ward is enrolled is solely responsible for any agreements, disputes, or issues that may arise for all matters related to admission, tuition, academic policies, awarding degree, and all other aspects of the university programs.

11. I understand that any fee paid to NxtWave is non-refundable and non-transferable under any circumstances, and in the event of my son’s/daughter’s/ward’s withdrawal, expulsion or termination from the Program for any reason whatsoever, no additional compensation will be provided.

12. I shall ensure that my son/daughter/ward shall adhere to the highest standards of responsibility and decorum as outlined in the Student Code of Conduct, both within and outside the premises, including online platforms.

13. I agree that I/my son/daughter/ward shall not upload, publish, or circulate any false, inaccurate, misleading, defamatory or offensive statement about the Program/NIAT/NxtWave and its officers, directors, employees, agents, affiliates, or representatives, through any medium including but not limited to print media, broadcast media, online platforms, social media, or any other public forums.

14. I understand and agree that NxtWave and/or their representatives have no control over the activities my son/daughter/ward chooses to engage in during the Program. Should my son/daughter/ward participate in any activities including but not limited to sports events, excursions, conferences and online activities, the entire responsibility for any injury, disability, illness, death or damage caused rests solely with me. I undertake that I shall not hold NxtWave and/or their representatives responsible for any such consequences under any circumstances.

15. I understand and agree that NxtWave is not liable for any injury, disability, death or illness that may occur during the course of the Program or related activities, to my son/daughter/ward, whether on or off NxtWave’s premises, and any associated medical or emergency expenses. Furthermore, NxtWave shall not be responsible for any pre-existing or newly developed medical conditions or illnesses of my son/daughter/ward and for any medical expenditures that may arise during the Program.

16. I understand that in case any medical procedures need to be performed on my son/daughter/ward on an emergency basis for any reason, I authorize NxtWave and/or any person authorized by NxtWave to give consent on my behalf for the required medical procedures. I understand that any delay in obtaining consent may prove fatal in such situations, and thus, consent should not be delayed under any circumstances. I shall stand by this authorization and shall not hold NxtWave and/or any person designated by NxtWave responsible/liable for giving consent and the consequences thereof.

17. I shall ensure that my son/daughter/wardshall have a valid medical insurance of at least 3 Lakh coverage throughout the Program and any medical expenses on my son/daughter/ward shall be borne by me, and not NxtWave.

18. I agree to indemnify, defend, and hold harmless NxtWave, their officers, directors, employees, agents, affiliates, and representatives from any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to the below acts performed by me or my son/daughter/ward:

    • Any breach or violation of the Terms and Conditions, including Program T&C, Code of Conduct and any other guidelines, policies, and instructions specified by NxtWave.

    • Any misconduct, negligent acts, or omissions by me or my son/daughter/ward during their participation in the program.

    • Any misrepresentation, false statement, or omission of material facts by my son/daughter/ward during the enrollment process or at any time during the program.

    • Any claims brought by third parties arising out of or relating to my and my son’s/daughter’s/ward’s actions, including but not limited to infringement of third-party intellectual property rights, personal injury, or property damage.

    • Any violation of applicable laws, regulations, or ordinances by me or my son/daughter/ward.

19. I acknowledge that failure to comply with any terms and conditions of this Indemnification Undertaking may result in legal and/or disciplinary actions on me or my son/daughter/ward including but not limited to penalties or fines, suspension, expulsion, termination of enrollment from the Program, as determined by NxtWave.
